Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Vessor, a resale point-of-sale and inventory platform provided by Intelliwav LLC dba Vessor, Bellevue, WA (“Vessor,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms on behalf of yourself and the shop you represent.
1.The service
Vessor provides software for resale, consignment, and vintage shops to manage inventory, ring up sales, list items to online marketplaces, and administer consignor relationships. We may add, change, or remove features over time. We will make reasonable efforts to keep the service available, but we do not guarantee uninterrupted or error-free operation.
2.Your account
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without your authorization. You must be at least 18 years old and authorized to bind your shop to these Terms.
3.Trials, subscriptions, and fees
Vessor is offered on a subscription basis, which may begin with a free trial. Fees, billing intervals, and plan features are described at the time you subscribe. Unless stated otherwise, subscription fees are billed in advance and are non-refundable except where required by law. We may change our pricing on prospective notice.
4.Payments and card data
Card payments you accept through Vessor are processed by our payments provider, Stripe. Vessor does not store full card numbers; payments are processed by Stripe. Your use of card processing is also subject to Stripe’s applicable terms. You are responsible for the tax treatment, refunds, chargebacks, and payouts associated with your own sales.
5.You own your data
As between you and Vessor, you own the inventory records, catalog content, sales history, consignor information, and other data you or your shop put into the service (“Your Data”). We do not claim ownership of Your Data. You grant us a limited license to host, process, and display Your Data solely to operate and improve the service for you. You may export Your Data, and you may request deletion of Your Data as described in our Privacy Policy.
6.Consignor information and our role as processor
Your shop may store personal information about its consignors and customers in Vessor (for example, names, contact details, and payout information). With respect to that information, your shop is the controller of the data and Vessor acts as a data processor that handles consignor personal information on your instructions and on your behalf. You are responsible for having the appropriate basis and permissions to collect and share that information with us. Our respective roles are described further in the Privacy Policy.
7.Acceptable use
You agree not to misuse the service, including by attempting to access it in an unauthorized way, interfering with its normal operation, using it to store or transmit unlawful content, or infringing the rights of others. You are responsible for complying with the rules of any third-party marketplace you connect through Vessor.
8.Third-party services
Vessor integrates with third-party services such as payment processors and online marketplaces. Those services are governed by their own terms and policies, and we are not responsible for their acts or omissions. Availability of any integration may change.
9.Intellectual property
The Vessor software, brand, and materials we provide are owned by Intelliwav LLC and its licensors. These Terms do not grant you any rights in the Vessor brand or software except the limited right to use the service as permitted here.
10.Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will meet your requirements or be uninterrupted, secure, or error-free.
11.Limitation of liability
To the fullest extent permitted by law, Vessor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the service. This section is a placeholder and the specific limits and caps must be set by counsel.
12.Termination
You may stop using Vessor and cancel your subscription at any time. We may suspend or terminate access if you materially breach these Terms or if we are required to do so by law. On termination, you may export Your Data for a reasonable period before it is deleted in the ordinary course.
13.Governing law
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The parties intend that any dispute be resolved in Washington. The specific venue and dispute-resolution mechanics are placeholders to be finalized by counsel.
14.Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
